These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Kash India (Proprietorship), doing business as Rapid Sales(“we,” “us,” “our,” or “Rapid Sales”), governing your access to and use of the website at www.rapidsales.ai and the Rapid Sales application (collectively, the “Service”).
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.
If you are using the Service on behalf of an organization (such as a business, agency, or employer), you represent and warrant that you have the authority to bind that organization to these Terms, and “you” refers to both you individually and the organization. You accept personal liability if you lack such authority.
1. Description of the Service
Rapid Sales is an AI-powered sales outreach automation platform that enables you to:
- Upload and manage lead and prospect data via CSV import.
- Create multi-channel outreach sequences across Email, WhatsApp, and AI-powered Voice Calls.
- Send personalized emails from your own authenticated business domain.
- Send WhatsApp messages through Meta's official WhatsApp Business API using pre-approved templates.
- Deploy AI Voice Call agents that make outbound calls to your leads in multiple languages.
- Connect your email account (via Google OAuth for Gmail/Google Workspace, Zoho Mail, or custom SMTP/IMAP) to send outbound emails and read incoming replies from leads.
- View full email thread history, WhatsApp conversation history, and AI call recordings and transcripts in a unified dashboard.
- Track engagement across all channels in a unified timeline.
- View campaign performance analytics including open rates, reply rates, call outcomes, and conversion metrics.
- Receive AI-powered content suggestions for emails and campaign optimization.
Rapid Sales is an execution tool. We provide the technology infrastructure for outreach automation. We do not provide lead databases, B2B data, phone numbers, or email lists. You bring your own leads and are solely responsible for the legality of contacting them.
We reserve the right to add, modify, suspend, or remove any feature of the Service at any time, at our sole discretion, with or without notice. The description above is illustrative and does not constitute a guarantee that any specific feature will remain available.
2. Eligibility
To use the Service, you must:
- Be at least 18 years of age (or the age of legal majority in your jurisdiction, whichever is higher).
- Have the legal capacity to enter into a binding agreement.
- Be acting in a business or professional capacity (Rapid Sales is a B2B platform, not intended for personal consumer use).
- Not be prohibited from using the Service under any applicable law.
- Have all necessary rights, licenses, and consents to contact the leads whose data you upload to the Service.
We reserve the right to refuse service, terminate accounts, or cancel subscriptions at our sole discretion if we reasonably believe that any of these conditions are not met, without any obligation to provide reasons or refunds.
3. Account Registration and Security
3.1 Account Creation
To access the Service, you must create an account by providing accurate, complete, and current information, including your name, email address, phone number, and company name. You agree to update your account information promptly if it changes.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorized by you. You agree to:
- Choose a strong, unique password and not share it with others.
- Notify us immediately at help@rapidsales.ai if you suspect unauthorized access to your account.
- Not transfer, sell, or assign your account to another person without our prior written consent.
We are not liable for any loss or damage arising from unauthorized access to your account, regardless of the cause. This includes, without limitation, losses resulting from compromised credentials, unauthorized campaigns sent from your account, or any actions taken by third parties using your account.
3.3 One Account Per User
Each User account is intended for use by the authorized number of users included in your subscription plan (currently single user for all plans). Sharing account credentials beyond your authorized user count is prohibited and may result in immediate account suspension or termination without refund.
4. Subscription Plans, Payments, and Billing
4.1 Plans and Pricing
Rapid Sales offers the following subscription plans:
- Basic Plan (₹3,000/month): Unlimited lead uploads, 2 email accounts, 100 emails/day, 250 WhatsApp conversations, AI calling with 2 languages and 4 voices, campaign creation and sequences, single user, basic analytics.
- Advanced Plan (₹6,000/month): Unlimited lead uploads, 5 email accounts, 250 emails/day, 1,000 WhatsApp conversations, AI calling with 4 languages and 8 voices, 1,000 minutes call recording, single user, advanced analytics, AI assistant.
- Pro Plan (₹12,000/month): Unlimited lead uploads, 10 email accounts, 500 emails/day, 1,000 WhatsApp conversations (tiered), advanced WhatsApp automation, AI calling with 10 languages and 20 voices, 3,000 minutes call recording, single user, advanced analytics, AI assistant.
Yearly billing is available at a 15% discount on the monthly rate.
We reserve the right to modify pricing, features, usage limits, and plan structures at any time. If we change the pricing of your current plan, we will provide at least 30 days' written notice (via email or in-app notification) before the new pricing takes effect. The updated pricing will apply at the start of your next billing cycle. If you do not agree with the new pricing, you may cancel your subscription before the next billing cycle.
4.2 Usage-Based Costs
Certain features incur usage-based costs in addition to your subscription fee, including but not limited to:
- AI Voice Call call minutes beyond your plan's included allocation.
- WhatsApp messages beyond your plan's included allocation.
- Call recording storage beyond your plan's included allocation.
Usage-based charges will be billed at the rates displayed in your account dashboard. We reserve the right to modify usage-based rates with 15 days' notice.
4.3 Payment Processing
All payments are processed securely through Razorpay, a PCI-DSS compliant payment gateway. By subscribing to a paid plan, you agree to Razorpay's Terms of Use and authorize recurring billing for the duration of your subscription.
We do not store your credit card, debit card, UPI, or bank account details on our servers. All payment information is handled directly by Razorpay.
4.4 Billing Cycle and Renewal
Paid subscriptions are billed in advance on a monthly or yearly cycle (depending on your selection). Your subscription will automatically renew at the end of each billing cycle at the then-current rate unless you cancel before the renewal date.
How to cancel auto-renewal: You can cancel your subscription at any time before the next renewal date through your account settings, or by emailing help@rapidsales.ai. Cancellation takes effect at the end of the current billing period — you will not be charged for the next cycle, and you will retain access until your current period expires.
4.5 Refund Policy
All payments made to Rapid Sales are final and non-refundable under normal circumstances. This includes monthly and yearly subscription fees, usage-based charges, and any add-on purchases. Without limiting the foregoing, we do not provide refunds or credits for:
- Partial months or partial billing periods.
- Unused features, unused message allocations, unused call minutes, or unused WhatsApp message allocations.
- Remaining subscription time after voluntary cancellation (including mid-cycle cancellation of annual plans — no pro-rata refunds are issued).
- Downgrading from a higher plan to a lower plan mid-cycle.
- Service disruptions caused by third-party providers, your own infrastructure, or force majeure events (service credits under Section 10.3 are the sole remedy for downtime).
- Account suspension or termination due to your breach of these Terms or any applicable law.
- Dissatisfaction with AI output quality, call outcomes, email deliverability, or campaign performance.
- Changes to features, providers, or pricing made in accordance with these Terms.
If you cancel your subscription, you will retain access to the Service until the end of your current paid billing period, after which your account will be downgraded or deactivated.
Statutory Rights: Nothing in this refund policy limits your rights under the Consumer Protection Act, 2019 (India) or any other applicable consumer protection law. If the Service is materially defective or substantially not as described, you may be entitled to remedies under applicable law, including a refund. To raise such a claim, please contact our Grievance Officer (see Section 22.2).
4.6 Taxes
All prices listed are exclusive of applicable taxes. You are responsible for any goods and services tax (GST), value-added tax (VAT), or other taxes or duties imposed by your jurisdiction. Applicable taxes will be added at checkout in accordance with applicable tax law.
4.7 Failed Payments
If a payment fails, we will attempt to process the payment again. If payment continues to fail after reasonable attempts, we may suspend your account until payment is resolved. We are not liable for any campaigns that fail to execute, leads that are not contacted, or other consequences resulting from account suspension due to failed payments.
4.8 Chargeback and Payment Dispute Protection
If you initiate a chargeback or payment dispute with your bank or payment provider for a charge that was validly authorized under these Terms, we reserve the right to immediately suspend your account, suspend all active campaigns, and withhold any data exports until the dispute is resolved. If the chargeback is resolved in our favor, you agree to pay any fees, penalties, or administrative costs incurred by us as a result of the dispute, including Razorpay's chargeback fees. Repeated or frivolous chargebacks will result in permanent account termination.
5. User Responsibilities and Compliance
5.1 Lead Data Compliance
This is critically important: You are solely and fully responsible for ensuring that you have a lawful basis to contact every lead whose data you upload to Rapid Sales. This includes, without limitation:
- Obtaining all necessary consents from leads before initiating outbound calls, emails, or WhatsApp messages.
- Complying with all applicable do-not-call (DNC) registries, including India's National Do Not Call Registry and any equivalent registries in the jurisdictions of your leads.
- Complying with TRAI's Telecom Commercial Communications Customer Preference Regulations.
- Complying with the TCPA (if contacting leads in the United States), including obtaining prior express written consent for automated or prerecorded calls.
- Complying with GDPR (if contacting leads in the EEA/UK), including having a lawful basis for processing and honoring data subject rights.
- Complying with the CAN-SPAM Act and any other applicable anti-spam laws for email communications.
- Complying with Meta's WhatsApp Business API policies, including restrictions on message types and opt-in requirements.
- Complying with all other applicable national, state, and local telemarketing, data protection, privacy, and anti-spam laws.
Rapid Sales does not verify the legality of your lead lists, the consent status of your leads, or your compliance with any applicable law. You upload lead data and initiate campaigns at your own risk and sole legal responsibility.
5.1A DNC Verification and Consent Documentation
You must implement Do Not Call (DNC) verification procedures and maintain documentation of consent for each recipient in your lead lists. Rapid Sales reserves the right to require proof of consent documentation at any time. Failure to provide such documentation upon request may result in immediate suspension of your account without refund. You must scrub your lead lists against all applicable DNC registries before uploading them to the Service.
5.1B AI Voice Call Disclosure Compliance
Where applicable law requires disclosure that a call is being made by an automated system or AI agent (including but not limited to FTC regulations in the United States, TRAI regulations in India, and equivalent regulations in other jurisdictions), you are solely responsible for ensuring such disclosure is made. This may include configuring your call scripts to include an AI disclosure statement at the beginning of each call. Rapid Sales provides the technology to configure such disclosures but does not determine whether disclosure is required in your specific use case. Rapid Sales is not liable for any fines, penalties, or claims arising from your failure to disclose the use of AI callers where required by law.
5.1C Outbound Call Consent and Documentation
For AI Voice Call made through the Service, you must maintain records demonstrating that each recipient has given the level of consent required by applicable law (e.g., prior express written consent under TCPA for prerecorded/artificial voice calls). You acknowledge that the level of consent required may vary by jurisdiction, call type, and the nature of your relationship with the recipient. You are responsible for determining the applicable consent requirements and obtaining and documenting compliance.
5.2 Email Connection and Authentication
Rapid Sales supports three methods for connecting your email account to the Service:
- Google OAuth (Gmail / Google Workspace):You may connect your Gmail or Google Workspace account via Google's OAuth 2.0 authentication. This grants the Service permission to read incoming emails (to detect lead replies and sync email threads) and send outbound emails on your behalf. You are responsible for reviewing and understanding the permissions you grant during the OAuth consent flow.
- Zoho Mail: You may connect your Zoho Mail account to the Service. This grants the Service permission to read incoming emails and send outbound emails on your behalf via your Zoho Mail account.
- Custom SMTP/IMAP: You may connect any email provider by providing your SMTP (for sending) and IMAP (for reading) server credentials. You are responsible for properly configuring SPF, DKIM, and DMARC records for your sending domain.
Regardless of the connection method used, you are responsible for ensuring that your email domain is properly authenticated and that your sending practices comply with all applicable anti-spam laws (including CAN-SPAM, GDPR, and any applicable Indian regulations). We are not liable for email deliverability issues caused by improper domain configuration, blacklisting of your domain by third parties, reputation issues with your sending domain, or actions taken by your email provider (Google, Zoho, or otherwise).
5.2A Google OAuth Permissions and Compliance
By connecting your Google account via OAuth, you acknowledge and agree that:
- You are the authorized owner or administrator of the Google account you connect, or you have explicit authorization from the account owner to grant these permissions.
- Rapid Sales will access only email threads related to leads managed within your Rapid Sales campaigns. We do not access, read, or store your entire Gmail inbox or emails unrelated to your campaigns.
- Our use of Google user data complies with the Google API Services User Data Policy, including the Limited Use requirements. We do not use data obtained through Google APIs for advertising, and we do not transfer this data to third parties except as necessary to provide the Service.
- You may revoke Rapid Sales' access to your Google account at any time through your Google Account settings (myaccount.google.com/permissions) or by disconnecting from the Rapid Sales dashboard. Revocation will prevent the Service from sending emails or reading replies via your Google account going forward.
- If Google modifies, restricts, or revokes API access that affects the Service's email functionality, Rapid Sales is not liable and is not obligated to provide any refund or alternative email capability.
- You are solely responsible for complying with Google's Terms of Service and Acceptable Use Policy when using the Service to send emails through your Google account.
5.2B Zoho Mail Connection Terms
By connecting your Zoho Mail account, you acknowledge and agree that:
- You are the authorized owner or administrator of the Zoho Mail account you connect, or you have explicit authorization from the account owner.
- Rapid Sales will access only email threads related to leads managed within your Rapid Sales campaigns.
- You may disconnect your Zoho Mail account from Rapid Sales at any time through the dashboard.
- If Zoho modifies, restricts, or revokes API access that affects the Service's email functionality, Rapid Sales is not liable and is not obligated to provide any refund or alternative email capability.
- You are solely responsible for complying with Zoho's Terms of Service when using the Service to send emails through your Zoho account.
5.3 WhatsApp Template Compliance
All WhatsApp messages sent through Rapid Sales must use templates that have been approved by Meta. You are responsible for submitting templates that comply with Meta's content policies. We are not liable if Meta rejects, suspends, or revokes approval of your templates, or if Meta restricts or bans your WhatsApp Business account due to your messaging practices.
5.4 Call Recording Consent
If you use AI Voice Call calling with call recording enabled, you are solely responsible for complying with all applicable call recording consent laws in your jurisdiction and the jurisdiction of the person being called. Many jurisdictions require one-party or two-party consent for recording phone conversations. Rapid Sales does not provide legal advice and does not determine whether call recording consent is required for your specific use case. You enable call recording at your own risk.
5.5 Caller ID and Virtual Numbers
AI Voice Call made through the Service use virtual phone numbers provisioned through Plivo and/or Twilio. The virtual number displayed as the caller ID is assigned by the telephony provider and may not reflect your actual business phone number. The specific telephony provider (Plivo or Twilio) used for any given call is determined by our system based on routing optimization, availability, and geographic factors; you do not select the provider. You are responsible for ensuring that your use of virtual caller IDs complies with all applicable caller ID regulations, including laws prohibiting spoofing or deceptive caller identification (such as the Truth in Caller ID Act in the United States and TRAI caller ID regulations in India). Rapid Sales does not guarantee that any specific phone number or area code will be available or will remain assigned to your account.
5.6 International Calling Compliance
If you use the Service to make calls to leads located outside India (including the United States, United Kingdom, European Union, or any other jurisdiction), you are solely responsible for complying with the telemarketing, data protection, and telecommunications laws of both India and the destination country. International calling regulations vary significantly by jurisdiction and may impose stricter consent requirements, time-of-day restrictions, mandatory disclosures, and registration obligations. Rapid Sales does not provide legal advice on international telecom compliance and is not liable for fines or penalties arising from your international calling activities.
5.7 WhatsApp Business Account Ownership
To use WhatsApp features, you must connect your own WhatsApp Business Account (WABA) to the Service. You are the owner and administrator of your WABA. Rapid Sales accesses your WABA through Meta's official WhatsApp Business API to send messages on your behalf. You are responsible for maintaining your WABA in good standing with Meta, including maintaining an acceptable quality rating. If Meta suspends, restricts, or terminates your WABA for any reason, Rapid Sales is not liable and is not obligated to provide any refund, credit, or alternative messaging capability. Upon disconnection or account termination, we will revoke our access to your WABA.
5.8 Lead Opt-Out Compliance
You must honor all opt-out, unsubscribe, and do-not-contact requests from leads across all channels (email, WhatsApp, and voice). Our Service includes automated features to help manage opt-outs (such as “Stop on Reply” intent detection and email unsubscribe links), but you are ultimately responsible for ensuring compliance. You must not re-add opted-out leads to new campaigns. Failure to honor opt-out requests may result in regulatory penalties for which you are solely liable, as well as suspension or termination of your Rapid Sales account.
6. Acceptable Use Policy
6.1 Permitted Use
You may use the Service only for legitimate business outreach purposes: sending emails, WhatsApp messages, and AI Voice Call calls to leads for sales, marketing, and business development purposes in compliance with all applicable laws.
6.2 Prohibited Conduct
You agree not to use the Service to:
- Contact leads without proper legal authority, consent, or opt-in.
- Send spam, unsolicited bulk messages, or communications in violation of any anti-spam law.
- Engage in harassment, threats, intimidation, or abuse of any individual through any channel.
- Send content that is unlawful, defamatory, obscene, hateful, discriminatory, fraudulent, or deceptive.
- Impersonate any person or entity, or use deceptive caller ID, email headers, or sender information.
- Upload malware, viruses, or any code designed to disrupt the Service.
- Circumvent, disable, or interfere with any security, rate-limiting, or access-control features of the Service.
- Attempt to reverse-engineer, decompile, disassemble, or derive the source code of the Service, including our AI models, algorithms, or voice synthesis technology.
- Use the Service to make emergency calls (the Service is not designed for emergency calling).
- Use the Service for any purpose that violates Meta's WhatsApp Business API policies, Plivo's acceptable use policy, Twilio's acceptable use policy, Google's terms of service, Zoho's terms of service, or any other third-party platform policy.
- Scrape, harvest, or collect data from the Service for purposes not authorized by these Terms.
- Resell, sublicense, or redistribute access to the Service without our prior written consent.
- Use the Service in any manner that could damage, disable, overburden, or impair the Service.
- Use the Service for any illegal purpose or in furtherance of any illegal activity.
6.3 Enforcement
We reserve the right to investigate suspected violations and to take any action we deem appropriate, at our sole discretion and without prior notice, including: issuing warnings, suspending features, suspending or terminating your account, deleting campaigns or lead data, and reporting violations to law enforcement or affected third parties. We are not required to provide advance notice, a hearing, or an opportunity to cure before taking enforcement action. We will not be liable for any losses or damages you incur as a result of enforcement actions taken in good faith.
6.4 Infrastructure and Reputation Protection
If your activities on the Service (including high complaint rates, spam reports, carrier complaints, or WhatsApp quality rating drops) adversely affect shared infrastructure, sending reputation, or the ability of other users to use the Service, we may immediately throttle, suspend, or terminate your account and campaigns. You acknowledge that outbound communication platforms rely on shared infrastructure and reputation, and that abuse by one user can affect all users. You agree that we may take protective action without prior notice in such cases.
7. User Content and Lead Data
7.1 Your Ownership
You retain ownership of all content you create within the Service (“User Content”), including email templates, WhatsApp templates, call scripts, campaign configurations, and uploaded Lead Data.
7.2 License Granted to Rapid Sales
By uploading content or data to the Service, you grant Rapid Sales a non-exclusive, worldwide, royalty-free license to use, reproduce, process, transmit, and store your User Content and Lead Data solely for the purposes of: (a) operating and providing the Service, (b) sending communications on your behalf, (c) generating AI-powered features, and (d) maintaining backups and logs as described in our Privacy Policy.
You also grant Rapid Sales a perpetual, irrevocable, worldwide, royalty-free license to use aggregated, anonymized, and de-identified data derived from your use of the Service (from which neither you, your business, nor any individual lead can be identified) for any lawful business purpose, including analytics, benchmarking, product development, and marketing.
7.3 Your Responsibilities
You are solely responsible for all User Content and Lead Data, including its accuracy, legality, and compliance with applicable laws. You represent and warrant that:
- You own or have the necessary rights to use and distribute your User Content.
- Your Lead Data was collected lawfully and you have a legal basis to contact each lead.
- Your communications do not infringe or violate any third party's intellectual property rights, privacy rights, or any applicable law.
- Your email content, WhatsApp messages, and call scripts comply with all applicable laws and platform policies.
Rapid Sales does not review, screen, or moderate your User Content, Lead Data, or outbound communications before they are sent. We are not responsible for the content of your campaigns, the accuracy of your messages, or any consequences arising from your outreach activities.
7.4 Communication Data Storage
The Service stores communication data generated through your campaigns, including full email threads (sent and received), WhatsApp conversation history, AI call recordings, and call transcripts. This data is stored solely to provide the unified dashboard and timeline features of the Service. You acknowledge and agree that:
- Communication data is accessible only to the account holder whose account generated or received the data.
- You are the data controller of all communication data related to your campaigns; we store it on your behalf.
- You are responsible for ensuring that your storage and use of communication data (including email threads containing lead replies) complies with all applicable data protection laws.
- Upon account termination, all communication data will be deleted in accordance with our Privacy Policy.
- We are not liable for any loss of communication data due to factors outside our reasonable control.
7.5 No Backup Obligation
Rapid Sales is not a data storage or backup service. While we store your data as described in our Privacy Policy, we do not guarantee long-term preservation of your User Content, Lead Data, call recordings, or campaign data beyond the retention periods stated. You are responsible for maintaining your own backups of all data you upload to the Service.
8. AI-Powered Features
8.1 AI Voice Call Agents
Rapid Sales offers AI-powered voice agents that make outbound calls to your leads. These voice agents use advanced voice synthesis technology (powered by ElevenLabs and/or Cartesia), AI language models (powered by Google Gemini), and telephony infrastructure (powered by Plivo and/or Twilio) to conduct conversations.
ElevenLabs and Cartesia are third-party AI Voice Call synthesis providers used by Rapid Sales to generate human-like voice output during AI-powered outbound calls. The specific provider used depends on the configuration selected by the user within the Service.
Important disclaimers:
- AI Voice Call agents are automated systems, not human callers. While our voice technology is designed to sound natural and human-like, AI agents may occasionally misunderstand questions, provide inappropriate responses, or fail to handle complex conversations.
- You are responsible for disclosing the use of AI callers where required by applicable law. Several jurisdictions require disclosure when automated or AI-powered systems are used for outbound calls.
- We do not guarantee call outcomes. AI agents may not always achieve the desired result (such as scheduling a meeting or qualifying a lead). Call quality, comprehension, and outcomes vary based on factors including network quality, lead responsiveness, language, accent, and conversation complexity.
- We do not guarantee call completion. Calls may fail due to network issues, carrier restrictions, invalid phone numbers, or other factors beyond our control.
8.2 AI Email and Content Suggestions
Rapid Sales offers AI-powered email content suggestions and campaign recommendations using Google Gemini. These suggestions are provided as recommendations only. You are responsible for reviewing, editing, and approving all content before sending.
8.3 No Guarantee of AI Output Quality
All AI-generated content (including voice conversations, email suggestions, and campaign recommendations) is produced by automated systems and may be inaccurate, inappropriate, incomplete, or not suitable for your audience. Rapid Sales does not guarantee the quality, accuracy, relevance, effectiveness, or legal compliance of any AI-generated output. You are solely responsible for all communications sent through the Service, whether AI-generated or manually created.
8.4 AI Technology Changes
We reserve the right to change the underlying AI providers, models, and technologies used in the Service at any time, without notice. This includes changing voice synthesis providers, language model providers, telephony providers, or any other technology component. Such changes do not constitute a material change to the Service for purposes of these Terms, provided the core functionality of the Service is maintained.
9. Third-Party Platform Terms
9.1 Meta WhatsApp Business API
WhatsApp messaging through our Service is facilitated by Meta's official WhatsApp Business API. Your use of WhatsApp features is subject to Meta's WhatsApp Business Terms of Service, Meta Business Terms, and Meta Platform Terms.
Meta may reject templates, restrict messaging, or suspend your WhatsApp Business account at any time. Rapid Sales is not liable for any actions taken by Meta, including template rejections, messaging restrictions, or account suspensions, and is not obligated to provide any refund or credit in such cases.
9.2 Plivo and Twilio (Telephony)
AI Voice Call are facilitated through Plivo's and/or Twilio's telephony infrastructure. Your use of calling features is subject to Plivo's Acceptable Use Policy and Twilio's Acceptable Use Policy. The specific telephony provider used for any given call is determined by our system; you do not select the provider. Plivo, Twilio, or the underlying carriers may block, restrict, or reject calls at their discretion. Rapid Sales is not liable for call failures, poor audio quality, or restrictions imposed by Plivo, Twilio, or carriers.
9.3 Email Delivery and Email Providers
Emails are sent from your own email account connected via Google OAuth (Gmail/Google Workspace), Zoho Mail, or custom SMTP/IMAP. Email deliverability depends on factors including your domain reputation, SPF/DKIM/DMARC configuration, your email provider's sending limits and policies, recipient server policies, and content filtering. Rapid Sales does not guarantee email delivery or inbox placement and is not liable for emails that are blocked, filtered, bounced, or marked as spam by recipient servers, or for sending limits, suspensions, or restrictions imposed by your email provider (Google, Zoho, or otherwise). If your email provider suspends or restricts your account due to your sending practices through the Service, Rapid Sales is not liable and is not obligated to provide any refund or alternative email capability.
9.4 Changes to Third-Party Services
Third-party platforms (including Meta, Plivo, Twilio, ElevenLabs, cartesia, Google, and Zoho) may change, restrict, deprecate, or discontinue their APIs, services, or pricing at any time. Such changes may temporarily or permanently affect features in Rapid Sales. We will make reasonable efforts to adapt to changes, but we do not guarantee uninterrupted availability of any particular feature or integration.
9.5 ElevenLabs and Cartesia (Voice Synthesis)
ElevenLabs and Cartesia are third-party AI Voice Call synthesis providers used by Rapid Sales to generate human-like voice output during AI-powered outbound calls.
The specific provider used depends on the configuration selected by the user. Only the selected provider processes the data required for voice synthesis.
These providers process only the data necessary to generate voice output (such as call scripts and contextual inputs) and do not receive your account credentials or payment information.
10. Service Availability and Uptime
10.1 Uptime Commitment
Rapid Sales commits to maintaining 99.9% uptime for the core Service (the dashboard, campaign engine, and API infrastructure), calculated on a monthly basis.
10.2 Exclusions
The uptime commitment does not apply to:
- Scheduled maintenance, for which we will provide at least 24 hours' advance notice whenever reasonably possible.
- Downtime caused by third-party services (Meta WhatsApp Business API, Plivo, Twilio, ElevenLabs, cartesia, Google Gemini, Google APIs, Zoho, AWS) being unavailable or experiencing their own outages.
- Force majeure events (see Section 19).
- Issues caused by your internet connection, browser, device, domain configuration, or any factor outside our reasonable control.
- Downtime resulting from your violation of these Terms or excessive usage beyond your plan limits.
10.3 Service Credits
If we fail to meet the 99.9% uptime commitment in any given calendar month (excluding the exceptions above), you may request a service credit equal to 5% of your monthly subscription fee for each full 1% of downtime below 99.9%, up to a maximum credit of 30% of your monthly fee. Service credits are applied to future billing cycles and are not redeemable for cash. To request a credit, notify us at help@rapidsales.ai within 15 days of the affected month.
Service credits are your sole and exclusive contractual remedy for failure to meet the uptime commitment, without prejudice to any statutory rights under applicable consumer protection law.
11. Intellectual Property
11.1 Our Intellectual Property
The Service, including its design, user interface, code, algorithms, AI models, voice synthesis technology, workflow engines, graphics, logos, trademarks, trade names (“Rapid Sales,” the Rapid Sales logo), and all related documentation, is the exclusive property of Kash India and is protected by applicable intellectual property laws, including Indian copyright law, trademark law, and international treaties.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended purpose in accordance with these Terms. This license does not grant you any ownership interest in the Service or its underlying technology.
11.2 Restrictions
You may not:
- Copy, modify, distribute, sell, lease, or create derivative works based on any part of the Service.
- Reproduce or publicly display any of our trademarks, logos, or branding without our prior written consent.
- Use the name “Rapid Sales” or any confusingly similar name to promote competing products or services.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Service.
- Attempt to extract, replicate, or reverse-engineer our AI models, voice technology, algorithms, or proprietary systems.
- Use the Service's output to train, fine-tune, or develop competing AI systems.
11.3 Feedback
If you provide us with suggestions, ideas, feature requests, bug reports, or other feedback about the Service (“Feedback”), you grant us an unrestricted, irrevocable, perpetual, worldwide, royalty-free, sublicensable license to use, modify, incorporate, and commercialize such Feedback in any way without any obligation, compensation, or attribution to you. Feedback does not constitute your confidential information regardless of any markings or designations.
12. Privacy and Data Protection
Your privacy is important to us. Our collection, use, storage, and protection of your personal data and Lead Data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Service, you acknowledge that you have read and understood our Privacy Policy and consent to the data practices described therein.
13. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.
Without limiting the foregoing, Rapid Sales does not warrant that:
- The Service will be uninterrupted, error-free, or free from viruses or other harmful components (subject to our uptime commitment in Section 10).
- AI Voice Call agents will accurately understand or respond to all conversations, or that call outcomes will meet your expectations.
- Emails sent through the Service will be delivered to recipients' inboxes or avoid spam filters.
- WhatsApp messages will be delivered or read by recipients.
- AI-generated content (voice conversations, email suggestions, campaign recommendations) will be accurate, appropriate, legally compliant, or effective.
- Third-party platform integrations (Meta, Plivo, Twilio, ElevenLabs, cartesia, Google, Zoho) will remain available, functional, or unchanged.
- The Service will produce any specific business results, including lead conversions, sales, appointments, or revenue.
- Call recordings and transcripts will be 100% accurate.
- Email threads, WhatsApp conversation histories, or other communication data displayed in the dashboard will be complete, accurate, or free from synchronization delays.
- Your email provider (Google, Zoho, or other) will not impose rate limits, suspensions, or restrictions on your account due to sending volume or practices through the Service.
- Lead data uploaded to the Service will be secure from all possible threats (we implement reasonable security measures as described in our Privacy Policy, but no system is 100% secure).
You acknowledge that outbound sales outreach involves inherent risks, including but not limited to regulatory penalties for non-compliance, damage to your brand reputation from unwanted communications, and carrier or platform bans. You assume all such risks.
14. Limitation of Liability
14.1 Exclusion of Indirect Damages
To the maximum extent permitted by applicable law, Rapid Sales (including Kash India, its proprietor, officers, employees, agents, and service providers) shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:
- Loss of profits, revenue, business, anticipated savings, or goodwill.
- Loss of data, including Lead Data, campaign data, call recordings, or communication logs.
- Loss of business opportunities, leads, or prospects.
- Damage to reputation or brand arising from campaigns executed through the Service.
- Regulatory fines, penalties, or enforcement actions arising from your use of the Service.
- Cost of procuring substitute services.
- Damages resulting from actions taken by third-party platforms, carriers, or service providers (including Meta WhatsApp account restrictions, Plivo or Twilio call blocking, Google or Zoho account restrictions, carrier call blocking, email blacklisting, or domain reputation damage).
- Damages resulting from AI agent errors, misstatements, or inappropriate responses during calls.
- Any claims brought against you by your leads, prospects, or any third party as a result of your outreach campaigns.
This exclusion applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Rapid Sales has been advised of the possibility of such damages.
14.2 Cap on Liability
To the maximum extent permitted by applicable law, Rapid Sales' total aggregate liability arising out of or in connection with these Terms or your use of the Service shall not exceed the greater of: (a) the total amount you have paid to Rapid Sales in the three (3) months immediately preceding the event giving rise to the claim, or (b) ₹12,000 (Ten Thousand Indian Rupees).
14.3 Essential Basis of the Agreement
You acknowledge that the limitations of liability in this section reflect a fair and reasonable allocation of risk between you and Rapid Sales, that the Service would not be available to you at the current pricing without these limitations, and that these limitations apply even if any limited remedy fails of its essential purpose.
15. Indemnification
You agree to indemnify, defend, and hold harmless Rapid Sales (including Kash India, its proprietor, employees, agents, contractors, and service providers) from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and costs of investigation) arising out of or in connection with:
- Your use of the Service, including any outreach campaigns you execute.
- Your Lead Data, including claims from leads or data subjects that their data was collected, processed, or used unlawfully.
- Any communications (emails, WhatsApp messages, AI Voice Call calls) sent through the Service on your behalf, including claims of spam, harassment, or unwanted contact.
- Your violation of these Terms, any applicable law, or any third party's rights.
- Your violation of any telecommunications law, data protection law, anti-spam law, or do-not-call regulation.
- Regulatory fines, penalties, or enforcement actions arising from your use of the Service.
- Any regulatory action, investigation, fine, or penalty imposed on Kash India by TRAI, FCC, TCPA authorities, data protection authorities, or any equivalent regulatory body, to the extent such action arises from or relates to your campaigns, lead data, or outreach activities conducted through the Service.
- Claims that your User Content, email content, call scripts, or campaign materials infringe any third party's intellectual property rights.
- Your breach of any representation or warranty made in these Terms.
- Your failure to obtain proper consents, authorizations, or opt-ins from leads before contacting them.
- Your failure to disclose the use of AI Voice Call agents where required by applicable law.
- Domain blacklisting, IP reputation damage, or carrier blocking that affects our infrastructure or other users, to the extent caused by your campaigns or sending practices.
- Your connection and use of third-party email accounts (Google, Zoho, or custom SMTP/IMAP) through the Service, including any claims from your email provider arising from your sending volume, content, or practices.
- Your misuse of Google OAuth permissions, violation of Google API Services User Data Policy, or any claims by Google arising from your use of the Service to access your Google account.
- Any communication data (email threads, WhatsApp messages, call recordings, transcripts) stored in the Service as a result of your campaigns, including any claims by leads or third parties regarding the content or retention of such communications.
This indemnification obligation survives the termination of your account and these Terms and applies regardless of the form of action. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. You agree to cooperate with us in the defense of any such claim.
16. Termination
16.1 Termination by You
You may cancel your subscription and terminate your account at any time through the account settings in your dashboard or by contacting us at help@rapidsales.ai.
- If you cancel a paid subscription, you will retain access until the end of your current billing period.
- Upon account termination, all active campaigns will be immediately stopped.
- All connected email accounts (Google, Zoho, or custom SMTP/IMAP) will be disconnected and OAuth tokens or stored credentials will be deleted.
- Lead Data, campaign data, communication logs (including stored email threads, WhatsApp conversation history, and call recordings/transcripts), and account data will be deleted in accordance with our Privacy Policy (within 30 days).
16.2 Termination by Rapid Sales
We may suspend or terminate your account, with or without notice, at our sole discretion, if:
- You breach these Terms, including the Acceptable Use Policy (Section 6) or User Responsibilities (Section 5).
- We receive complaints from leads, carriers, or platform providers about your outreach activities.
- Your activities result in carrier blocking, domain blacklisting, or WhatsApp account restrictions that affect our infrastructure or other users.
- We are required to do so by law, regulation, or a court order.
- A third-party platform (Meta, Plivo, Twilio, Google, Zoho, or any other) requests that we terminate your access.
- Your account has been inactive for more than 12 consecutive months.
- We determine, in our sole judgment, that your continued use poses a risk to the Service, our infrastructure, our reputation, or other users.
In the event of termination for breach or policy violation, we are not obligated to provide any refund, credit, prior notice, or opportunity to cure. We may also retain evidence of violations for legal purposes.
16.3 Data Export
Before terminating your account, you may export your data (including Lead Data, campaign data, communication logs, and call recordings where available) through the dashboard's export functionality or by contacting us at help@rapidsales.ai. We will provide the export in a structured, machine-readable format (such as CSV or JSON for data, and standard audio format for call recordings) within 15 days of your request. After account deletion, data export is no longer available.
16.4 Effect of Termination
Upon termination (whether by you or by us):
- Your license to use the Service immediately ends.
- All active campaigns and scheduled communications are immediately stopped.
- Any pending messages or calls that have not yet been sent will be cancelled.
- Data deletion will proceed as described in our Privacy Policy.
- You remain liable for any activities conducted through your account prior to termination.
16.5 Survival
The following sections survive termination of these Terms: Section 4.5 (Refund Policy and Statutory Rights), Section 5 (User Responsibilities and Compliance), Section 7 (User Content and Lead Data, including the license grants and your responsibilities), Section 11 (Intellectual Property), Section 13 (Disclaimer of Warranties), Section 14 (Limitation of Liability), Section 15 (Indemnification), Section 17 (Governing Law and Dispute Resolution), Section 19 (Force Majeure), Section 21 (Confidentiality), Section 22 (Compliance with Indian Law), and this Section 16.5.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
17.2 Jurisdiction
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts located in Ahmedabad, Gujarat, India. You irrevocably consent to the jurisdiction of these courts and waive any objection based on inconvenient forum.
17.3 Informal Resolution
Before initiating any formal legal proceeding, you agree to first attempt to resolve the dispute informally by contacting us at help@rapidsales.ai. We will attempt to resolve the dispute within 30 days. If the dispute is not resolved within 30 days, either party may proceed with formal legal action.
17.4 Arbitration
For disputes that cannot be resolved informally, either party may elect to submit the dispute to binding arbitration in Ahmedabad, Gujarat, administered in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties. The language of arbitration shall be English. The arbitrator's award shall be final and binding on both parties.
17.5 Class Action Waiver
To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
18. Modifications to These Terms
We may update these Terms from time to time to reflect changes in our Service, business practices, technology providers, or applicable law. When we make material changes:
- We will update the “Last Updated” date at the top of this document.
- We will notify you via email or a prominent in-app notification at least 15 days before the new Terms take effect.
- Your continued use of the Service after the new effective date constitutes your acceptance of the modified Terms.
- If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription before the new effective date.
For non-material changes (such as corrections, clarifications, or formatting), we may update these Terms without prior notice, and the updated version will be effective upon posting.
19. Force Majeure
Rapid Sales shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, epidemics, acts of government, war, terrorism, civil unrest, power outages, internet or telecommunications failures, carrier or network outages, third-party platform outages or API changes (including Google, Zoho, Plivo, Twilio, Meta, ElevenLabs, cartesia, and AWS), third-party service provider failures, cyberattacks or security incidents at third-party providers, changes in applicable law or regulation, and acts of God.
20. Modifications to the Service
20.1 General Modifications
We reserve the right to modify, update, enhance, suspend, or discontinue any part of the Service at any time, at our sole discretion, with or without notice. This includes adding or removing features, changing supported channels, modifying AI capabilities, adjusting usage limits, changing underlying technology providers, or discontinuing the Service entirely.
If we discontinue the Service entirely, we will provide at least 30 days' advance notice and, for active paid subscribers, a pro-rated refund for any pre-paid period remaining after the discontinuation date. This is the sole circumstance in which a refund will be issued.
Modifications to the Service that do not constitute a complete discontinuation (including feature changes, provider changes, limit adjustments, or UI changes) are not grounds for refund or termination by you.
20.2 Regulatory Changes and Service Modifications
If any change in applicable law, regulation, or regulatory guidance (including but not limited to telecom regulations, data protection laws, AI disclosure requirements, or platform policies) requires us to modify, restrict, or discontinue any feature of the Service, we may do so immediately and without prior notice. Such regulatory-driven changes are not considered a breach of these Terms and do not entitle you to a refund, credit, or claim. We will make reasonable efforts to notify you of such changes as soon as practicable. You acknowledge that the regulatory landscape for AI-powered outreach is evolving, and you accept the risk that features may be modified or restricted in response to regulatory developments.
21. Confidentiality
21.1 Your Confidential Information
We treat your Lead Data, campaign configurations, and account data as confidential and will not disclose them except as described in our Privacy Policy and these Terms.
21.2 Our Confidential Information
The Service contains proprietary technology, algorithms, AI models, business processes, and trade secrets that constitute our confidential information. You agree not to disclose, reverse-engineer, or misappropriate any of our confidential information.
21.3 Exceptions
Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party, (b) was already known to the receiving party, (c) is independently developed by the receiving party, or (d) must be disclosed by law.
22. Compliance with Indian Law
22.1 Consumer Protection Act, 2019
We comply with the Consumer Protection Act, 2019, and the Consumer Protection (E-Commerce) Rules, 2020, as applicable. In accordance with these rules:
- Our legal name, registered address, and customer care contact details are published in Section 25 and on our website.
- Our refund, cancellation, and subscription renewal policies are clearly disclosed in Section 4.
- We do not engage in unfair trade practices as defined under the Act.
- We provide a grievance redressal mechanism (see Section 22.2 below).
Nothing in these Terms excludes or limits your statutory rights as a consumer under applicable Indian law.
22.2 Grievance Redressal
In accordance with the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, we have appointed a Grievance Officer:

If you have any complaints or grievances relating to the Service, the Grievance Officer will acknowledge your complaint within 48 hours and endeavor to resolve it within 30 days. If you are not satisfied with the resolution, you may escalate the matter through the consumer dispute redressal mechanisms available under the Consumer Protection Act, 2019.
22.3 Information Technology Act, 2000
To the extent applicable, Rapid Sales complies with the Information Technology Act, 2000, and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
22.4 Telecom Regulations
You acknowledge that outbound voice calling through our Service is subject to regulation by the Telecom Regulatory Authority of India (TRAI) and other applicable regulators. We comply with applicable telecom regulations as they relate to our platform infrastructure. You are solely responsible for compliance as the originator of outbound calls (see Section 5).
23. Beta Features and Early Access
23.1 Beta and Early Access Programs
From time to time, we may offer beta features, early access programs, or preview releases (“Beta Features”). Beta Features are provided “as is” and “as available” without any warranty or uptime commitment. Beta Features may be incomplete, contain bugs, or be discontinued at any time without notice.
23.2 Beta Disclaimers
By using any Beta Feature, you acknowledge that: (a) Beta Features may not work as expected and may cause data loss or service disruptions, (b) we may modify or discontinue Beta Features at any time without notice or liability, (c) the uptime commitment (Section 10), service credit mechanism, and any SLA do not apply to Beta Features, (d) Beta Features may collect additional usage data to help us improve the feature, and (e) feedback you provide about Beta Features is subject to the Feedback license in Section 11.3.
23.3 Waitlist and Pre-Launch Access
If you access the Service during a waitlist, pre-launch, or early access period, you acknowledge that the Service may have limited functionality, may be subject to additional restrictions, and may change substantially before general availability. Pricing, features, and plan structures during pre-launch periods are subject to change without the notice requirements that apply to generally available plans.
24. General Provisions
24.1 Entire Agreement
These Terms, together with the Privacy Policy and any plan-specific terms or usage agreements presented through the Service, constitute the entire agreement between you and Rapid Sales regarding the Service. They supersede all prior agreements, understandings, or communications (whether written or oral) regarding the subject matter. No oral representations, warranties, or agreements made by any employee, agent, or representative of Rapid Sales shall modify these Terms.
24.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable (or severed if modification is not possible), and the remaining provisions shall continue in full force and effect.
24.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any term is only effective if it is in writing and signed by Rapid Sales. No course of dealing or delay in enforcement shall constitute a waiver.
24.4 Assignment
You may not assign or transfer your rights or obligations under these Terms to any third party without our prior written consent. Rapid Sales may freely assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or to any affiliate or successor entity, without your consent and without notice. The assignee shall be bound by these Terms.
24.5 Notices
All notices from Rapid Sales to you will be sent to the email address associated with your account. Notices are deemed received when sent. It is your responsibility to keep your email address current. All notices from you to Rapid Sales should be sent to help@rapidsales.ai.
24.6 No Third-Party Beneficiaries
These Terms do not confer any rights or remedies on any third party, except as expressly stated herein.
24.7 No Partnership or Agency
Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and Rapid Sales. You have no authority to bind Rapid Sales in any way.
24.8 Language
These Terms are written in English. If these Terms are translated into any other language for convenience, the English version shall prevail in the event of any conflict or discrepancy.

The headings in these Terms are for convenience only and do not affect the interpretation of any provision.
